Fibrely Protect Terms and Conditions.

The agreement between you and Fibrely Ltd for the Fibrely Protect and Fibrely Protect Lite online security services.

These Terms and Conditions ("Terms") set out the agreement between you ("You", "Your") and Fibrely Limited (Company Number 08027502) whose registered address is 3 Railway Court, Doncaster, South Yorkshire, England, DN4 5FB; and any other subsidiary of JLO Group Ltd (Company Number 13739777) whose registered address is 3 Railway Court, Doncaster, South Yorkshire, England, DN4 5FB ("We", "Our", "Us"). These Terms apply to the Fibrely Protect and Fibrely Protect Lite online security services ("Protect Services"). The Protect Services may be taken as a standalone product or as an add-on to a Fibrely broadband or Fibrely Mobile service. Where You also hold a Fibrely broadband or Fibrely Mobile service, these Terms should be read alongside the terms and conditions for that service. In all cases, Our Privacy Policy and Our Acceptable Usage Policy also apply. The Protect Services are provided using technology supplied by F-Secure Corporation ("F-Secure"). Your use of the Protect Services is also subject to the F-Secure End User Licence Terms, a copy of which can be found at www.f-secure.com/eult.

  • These Terms— cover Your Protect subscription, pricing, cancellation, and Our liability.
  • F-Secure End User Licence Terms— cover Your right to use the security software on Your devices.
  • Our Privacy Policy(https://fibrely.co.uk/legal/privacy-policy) — covers how We handle Your personal data.
  • Our Acceptable Usage Policy— covers what You can and cannot do with Our services.

If You also have Fibrely broadband or Fibrely Mobile, the terms for those services continue to apply to those services separately.

Key Terms
1. SERVICE DESCRIPTION

1.1Fibrely Protect and Fibrely Protect Lite are online security services designed to help protect Your devices and online activity. The features included in each product are set out in the product description on Our website at fibrely.co.uk.

1.2The Protect Services may be taken as a standalone subscription or as an add-on to an existing Fibrely broadband or Fibrely Mobile service.

1.3The Protect Services may be updated from time to time by Our technology partner, F-Secure, to address new security threats and improve functionality. Routine security updates may occur automatically and without prior notice. Where an update materially changes or removes features of the Protect Services, We will use reasonable efforts to notify You in advance.

2. DEFINITIONS

2.1"Order Confirmation" means the confirmation We send You (by email or through Your online account) when You subscribe to or make changes to the Protect Services, setting out Your chosen plan, pricing, and any applicable terms.

2.2"Protect Services" means the Fibrely Protect and/or Fibrely Protect Lite online security services as described on Our website.

3. ELIGIBILITY AND ACTIVATION

3.1To subscribe to the Protect Services, You must:

  • (a)Be at least 18 years old;
  • (b)Provide valid contact and payment details; and
  • (c)Accept the F-Secure End User Licence Terms prior to using the software.

3.2Upon subscribing, We will provide You with instructions for downloading and installing the Protect Services software on Your eligible devices.

3.3You are responsible for ensuring that Your devices meet the minimum system requirements as published on Our website.

4. LICENCE AND USE

4.1Subject to these Terms and the F-Secure End User Licence Terms, We grant You a limited, non-exclusive, non-transferable licence to install and use the Protect Services software on the number of devices included in Your chosen plan.

4.2You may purchase additional device licences at the rates published on Our website. Additional devices will be added to Your existing plan and billed accordingly.

4.3You may not:

  • (a)Resell, sublicense, or distribute the Protect Services to any third party;
  • (b)Reverse-engineer, decompile, or disassemble any part of the Protect Services software, except to the extent permitted by applicable law;
  • (c)Use the Protect Services for any commercial or business purpose; or
  • (d)Circumvent or attempt to circumvent any technical protection measures within the software.

4.4All intellectual property rights in the Protect Services software belong to F-Secure or its licensors. Nothing in these Terms transfers any ownership rights to You.

5. PRICING AND PAYMENT

5.1The monthly charge for Your chosen Protect Service will be set out in Your Order Confirmation.

5.2Where the Protect Services are taken as an add-on to a Fibrely broadband or Fibrely Mobile service, charges will be added to Your existing monthly bill and collected by the same payment method.

5.3Where the Protect Services are taken as a standalone subscription, You must pay by Direct Debit or such other payment method as We may agree. Payment will be collected monthly in advance.

5.4We may increase the price of the Protect Services from time to time. We will provide You with at least 30 days' notice of any price increase. If You do not wish to accept the new price, You may cancel the Protect Services before the increase takes effect in accordance with clause 6 and You will not be charged at the increased rate.

5.5If You change from Fibrely Protect to Fibrely Protect Lite (or vice versa), the new pricing will take effect from Your next billing cycle.

5.6All charges are inclusive of Value Added Tax (VAT) unless otherwise stated.

5.7We may offer annual or other subscription plans at a discounted rate from time to time. Details of available plans and pricing will be published on Our website and set out in Your Order Confirmation.

5.8We may from time to time offer promotional or bundled pricing for customers who subscribe to multiple Fibrely services. Details will be set out in Your Order Confirmation.

6. CANCELLATION AND COOLING OFF

6.1The Protect Services are provided on a rolling monthly basis with no minimum contract period, unless otherwise stated in Your Order Confirmation.

6.2You may cancel the Protect Services at any time by contacting Us or through Your online account. Cancellation will take effect at the end of Your current billing period, and no further charges will be applied.

6.3You may cancel the Protect Services within 14 days of first subscribing, free of charge. We will refund any payment already taken for that billing period.

6.4Where the Protect Services are taken as an add-on to a Fibrely broadband or Fibrely Mobile service and that underlying service is cancelled or terminated for any reason, the Protect Services will continue as a standalone subscription until you choose to cancel them.

6.5If You have taken an annual subscription plan and wish to cancel before the end of the annual period, We will refund a pro-rata amount for any full remaining months of Your subscription, less any discount You received for taking the annual plan.

6.6Upon cancellation, Your licence to use the Protect Services software will end immediately. You should uninstall the software from all devices.

6.7You may not transfer or assign Your Protect Services subscription to any other person without Our prior written consent.

7. SERVICE AVAILABILITY AND LIMITATIONS

7.1Whilst We aim to provide the Protect Services continuously, We do not guarantee uninterrupted availability. The services may be temporarily unavailable due to maintenance, updates, or circumstances beyond Our control.

7.2The Protect Services are designed to reduce risk but cannot guarantee complete protection against all security threats. You remain responsible for exercising caution when using the internet, including keeping Your devices and operating systems up to date.

7.3We are not responsible for any loss or damage arising from:

  • (a)Security threats that the Protect Services do not detect or prevent;
  • (b)Your failure to install updates to the Protect Services software or Your operating system;
  • (c)Incompatibility between the Protect Services and third-party software or hardware; or
  • (d)Your use of the internet in a manner that exposes You to risk.
8. YOUR RESPONSIBILITIES

8.1You are responsible for:

  • (a)Installing and maintaining the Protect Services software on Your eligible devices;
  • (b)Ensuring that any person who uses the Protect Services under Your account complies with these Terms and the F-Secure End User Licence Terms;
  • (c)Keeping Your account credentials secure and notifying Us promptly if You suspect any unauthorised use; and
  • (d)Maintaining appropriate backups of Your personal data.

8.2We and F-Secure are not liable for any loss, corruption, or deletion of Your data arising from the use of the Protect Services, except where such loss is directly caused by Our negligence or breach of these Terms.

9. DATA AND PRIVACY

9.1The Protect Services may collect and process certain data in order to function, including device information, threat data, and usage statistics. Details of how We and F-Secure handle Your personal data can be found in Our Privacy Policy and F-Secure's privacy statement, available at www.f-secure.com.

9.2F-Secure processes data in accordance with the General Data Protection Regulation (GDPR) and applicable data protection laws. Further details are available in F-Secure's Data Processing Agreement.

10. BILLS AND NON-PAYMENT

10.1You are responsible for paying all charges for the Protect Services when they fall due.

10.2Bills will be delivered in electronic form. It is Your responsibility to ensure that the email address registered on Your account is accurate and actively monitored.

10.3If We are unable to collect payment for the Protect Services, We may:

  • (a)Suspend Your access to the Protect Services until payment is received;
  • (b)Terminate the Protect Services after 30 days of non-payment; and
  • (c)Take reasonable steps to recover any outstanding amounts owed to Us.
11. SUSPENSION AND TERMINATION BY US

11.1We may suspend or terminate the Protect Services if:

  • (a)You breach any term of these Terms or the F-Secure End User Licence Terms;
  • (b)You fail to pay any charges due to Us;
  • (c)We are required to do so for legal or regulatory reasons; or
  • (d)Our agreement with F-Secure in respect of the Protect Services ends or changes materially.

11.2If We discontinue the Protect Services due to changes in Our arrangement with F-Secure, We will provide You with at least 30 days' notice wherever reasonably possible, and You will not be charged for any period after the service ends. We will use reasonable efforts to help You identify alternative security software.

12. OUR LIABILITY

12.1The Protect Services are supplied for personal and domestic use only. You agree not to use the Protect Services for any commercial, business, or professional purpose.

12.2The Protect Services are provided as an additional layer of security and are not a substitute for exercising reasonable caution online. No security software can guarantee complete protection against all threats. You acknowledge that:

  • (a)The Protect Services may not detect or prevent all viruses, malware, phishing attempts, or other security threats;
  • (b)The effectiveness of the Protect Services depends in part on factors outside Our control, including Your devices, operating system, other software, and how You use the internet; and
  • (c)You remain responsible for taking reasonable steps to protect Your devices, data, and online accounts.

12.3We are not liable for:

  • (a)Any loss or damage arising from security threats that the Protect Services do not detect or prevent;
  • (b)Any loss, corruption, or deletion of Your data, except where directly caused by Our negligence or breach of these Terms;
  • (c)Any loss or damage caused by Your failure to install updates to the Protect Services software or Your operating system;
  • (d)Any loss or damage caused by incompatibility between the Protect Services and third-party software, hardware, or services;
  • (e)Any indirect or consequential loss or damage of any kind; or
  • (f)Any loss of profit, loss of business, business interruption, or loss of business opportunity, whether or not such losses were foreseeable.

12.4To the maximum extent permitted by law, Our total liability to You in connection with the Protect Services, whether in contract, tort (including negligence), or otherwise, shall not exceed the higher of (a) the total amount You have paid to Us for the Protect Services in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred pounds (£100).

12.5The limitation in clause 12.4 does not apply to any liability arising from a breach of Our obligations under applicable data protection laws.

12.6Nothing in these Terms excludes or limits Our liability for:

  • (a)Death or personal injury caused by Our negligence;
  • (b)Fraud or fraudulent misrepresentation; or
  • (c)Any other liability that cannot be excluded or limited by law, including Our liability under the Consumer Rights Act 2015.
13. MATTERS BEYOND OUR CONTROL

13.1We will not be liable for any failure or delay in providing the Protect Services where such failure or delay is caused by matters beyond Our reasonable control, including but not limited to: severe weather, fire, flood, acts of government or regulatory authorities, cyber attacks on third-party infrastructure, failure of F-Secure's systems, internet service disruption, or any other event that We could not have reasonably foreseen or prevented.

13.2If the Protect Services are unavailable for a continuous period of more than 30 days due to an event beyond Our reasonable control, You may cancel the Protect Services by contacting Us and We will refund any charges You have paid for the period during which the services were unavailable.

14. CHANGES TO THESE TERMS

14.1We may update these Terms from time to time. Where We make changes that are not materially detrimental to You, We will notify You by email at least 30 days before the changes take effect.

14.2Where We make changes that are materially detrimental to You, We will provide at least 30 days' notice by email, clearly setting out the changes and their effect. You will have the opportunity to cancel the Protect Services without penalty before the changes take effect. If You do not cancel before the changes take effect, the updated Terms will apply to You going forward.

15.3If You remain dissatisfied after We have investigated Your complaint, You may refer the matter to the Ombudsman Services ADR Scheme, reachable free of charge at 0330 440 1614 or enquiry@ombudsman-services.org.

16. GENERAL

16.1These Terms, together with the F-Secure End User Licence Terms and (where applicable) the terms and conditions for Your Fibrely broadband or Fibrely Mobile service, form the entire agreement between You and Us in respect of the Protect Services.

16.2If any part of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16.3This agreement is between You and Us. No other person shall have any rights to enforce any of its terms.

16.4We may transfer Our rights and obligations under these Terms to another organisation. We will always tell You in writing if this happens and We will ensure that the transfer will not affect Your rights under Your agreement with Us.

16.5Even if We delay in enforcing this agreement, We can still enforce it later. If We do not insist immediately that You do anything You are required to do under these Terms, or if We delay in taking steps against You in respect of Your breaking this agreement, that will not mean that You do not have to do those things and it will not prevent Us from taking steps against You at a later date.

16.6These Terms are governed by the laws of England and Wales. Any disputes will be referred to the courts of England and Wales.
